Using our Services

To use our Services you must follow some simple rules. The Service is only available for your private use. Do not misuse the Services, so that either Memoree or anyone else is harmed in any way. You may only use the Services as permitted by law and these Terms. By using our Services, you agree that:

• Memoree does not monitor the contents of the Service, but may at any time choose, at its sole discretion, to remove User Material from the Service.
• While we make every effort to achieve the highest level of accuracy and performance, it is important to understand that we cannot directly monitor or control the content or decisions generated by AI. Therefore, we cannot be held liable for the decisions or content produced by AI.
• You may not contribute with any propaganda, religious and/or political views, or contribute with information which in any way contains or involves incitement to racial hatred through the use of our Services. Furthermore, you may not defame, harass or offend other people through the use of our Services.
• You may not post, link and otherwise make available on or through the Service any of the following: content that is illegal or unlawful, that would otherwise create liability; Content that may infringe or violate any patent, trademark, trade secret, copyright, right of privacy, right of publicity or other intellectual or other right of any party.
• You agree that if you have any criticism or feedback regarding Memoree or our Services, you will contact Memoree to help us improve our Services.

Violation of any of these Terms can result in the removal of your access to the Services. If you violate these terms, you will not get a refund.

Data Storage and iCloud Integration

Our app is designed to store your data directly on your iPhone and sync it with iCloud, ensuring that your memos and other information are accessible across your devices. It's important to note that as a user, you are fully responsible for managing and protecting the data stored on your device and in your iCloud account. We prioritize your privacy and data security; however, the safeguarding of your device and iCloud account falls under your purview. Be aware that the data synchronization with iCloud is subject to Apple's iCloud terms and conditions, and we recommend regularly reviewing your iCloud settings to manage data access and security. By using our app, you acknowledge and agree to these data storage practices and assume responsibility for the security of your data on your device and iCloud account.

Auto Renewing Subscriptions

For auto renewing subscriptions completed in our iOS Apps the following terms apply:

• Payment will be charged to iTunes Account at confirmation of purchase.
• Subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current period.
• Your account will be charged for renewal within 24-hours prior to the end of the current period.
• Subscriptions may be managed by the user and auto-renewal may be turned off by going to the user's Account Settings after purchase.
• Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription to that publication, where applicable.
• You can cancel a free trial or subscription anytime by turning off auto-renewal through your iTunes account settings. This must be done 24 hours before the end of a free trial or subscription period to avoid being charged. The cancellation will take effect the day after the last day of the current subscription period, and you will be downgraded to the free service.

All purchases in the app will be managed by Apple Inc. (hereinafter "Apple"). No customer data is shared with the Service Provider by Apple. Your purchase will be made through your stored App Store payment method and you can manage your subscription and request refund using the App Store's billing management, that can be found at apps.apple.com/account/subscriptions.

Token (Neuron) Purchase and Usage

"Neurons" (or Tokens) are our in-app currency. Neurons are required to access certain advanced features of the app, particularly those involving the processing and answering of questions based on user-provided memos. Users can purchase Neurons through the app, and these Neurons will be used to facilitate interactions with our AI services.

Please note that once purchased, Neurons are non-refundable and are valid for a period of one year from the date of purchase. This validity period is essential for our internal accounting and tax auditing processes. We encourage users to plan their Neuron usage accordingly, keeping in mind their expiration date. It's important to understand that the number of Neurons required for a query depends on the complexity and length of both the question and the associated memos. However, for most standard interactions involving short queries and memos, a single Neuron will suffice. By purchasing Neurons, you acknowledge and agree to these terms of usage and the outlined non-refundable policy.

Voice transcription

By using Memoree, you acknowledge and consent to the voice processing functionality facilitated through Siri integration. When you interact with our app using voice commands, your voice data is transmitted to Apple's servers for speech recognition and text transcription purposes, and that such audio data may be used to improve and provide Apple products and services. Your transcribed text is securely delivered back to our app solely for the purpose of executing your commands and enhancing your user experience. Your use of this voice feature signifies your acceptance of these terms.

Use of AI Services

By using AI service, you acknowledge and consent to the AI-powered response functionality facilitated through the OpenAI service. When you interact with our app to obtain answers to your questions, relevant information is transmitted to OpenAI to generate responses based on your inputs. As outlined in their data usage policy, OpenAI stores this data for 30 days solely for abuse detection purposes. Your data will not be used for training AI models. Your use of this AI feature signifies your acceptance of these terms.

Termination

If you breach any of these Terms, we have the right to suspend or disable your access to or use of the Service. Entire Agreement

These Terms constitute the entire agreement between you and Memoree regarding the use of the Service, superseding any prior agreements between you and Memoree relating to your use of the Service.
